By accessing the website or engaging with ZemiFlow services, you agree to be bound by these terms. If you do not agree, please discontinue use of the website.

You may use the ZemiFlow website and Academy for lawful purposes related to understanding ZemiFlow services, accessing educational content, and initiating commercial enquiries. 3. Academy Content and Educational Materials

ZemiAcademy content is provided for informational and educational purposes. It reflects general guidance on Instagram and WhatsApp DM strategy, customer communication, and sales conversion. It does not constitute legal, financial, regulatory, or professional advice. Results described in Academy materials are illustrative and not guaranteed for any specific business context.

4. Service Enquiries and Commercial Discussions

Completing a contact form, booking a call, or engaging in a discovery conversation does not create a binding service agreement. A formal service relationship is only established when both parties execute a written agreement, proposal, or statement of work. Website language describing service options, outcomes, or approaches is descriptive and does not constitute a guarantee or contractual commitment.

5. Platform and Automation Acknowledgement

ZemiFlow services may involve configuration of third-party platforms including Meta's WhatsApp Cloud API, Instagram Graph API, Messenger API, and other communication or automation tools. You acknowledge that ZemiFlow operates within the terms and policies of those platforms and that platform-level changes, restrictions, or policy updates may affect service delivery in ways outside ZemiFlow's direct control. Clients remain responsible for ensuring their own platform accounts, business verification, and compliance obligations are maintained appropriately and lawful.

6. Managed-Service Boundaries

ZemiFlow may provide workflow design, automation logic, reporting structure, optimisation guidance, role-based visibility, and implementation support. However, unless expressly agreed in writing, ZemiFlow does not guarantee sales volume, lead quality, platform uptime on third-party services, advertising performance, payment processing continuity, or uninterrupted access to external communication channels controlled by third parties.

7. Intellectual Property

The ZemiFlow brand, website copy, design elements, Academy materials, graphics, educational frameworks, and service descriptions are owned by or licensed to Samuel Hunte & Co. Ltd., unless otherwise stated. You may not reproduce, republish, modify, distribute, or commercially exploit website or Academy content without prior written permission, except for limited personal or internal business reference use.

8. Third-Party Platforms and Tools

ZemiFlow services and website operations may rely on third-party tools, communication platforms, analytics tools, CMS platforms such as WordPress, hosting providers, scheduling systems, or service integrations. ZemiFlow is not responsible for interruptions, policy changes, outages, account restrictions, or security events originating primarily from third-party platforms outside its reasonable control.

9. Fees and Commercial Terms

Any fees, implementation charges, monthly service amounts, add-ons, billing cadence, payment terms, and support scope will be governed by a separate proposal, agreement, invoice, or statement of work. Public website language regarding packages or pricing philosophy is descriptive and does not by itself constitute a binding commercial quote.

10. Confidentiality and Operational Information

If you share business information, operational workflows, message logic, internal processes, pricing structures, customer-service details, or other implementation-sensitive materials with ZemiFlow, both parties should treat such information with reasonable commercial confidentiality.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ZemiFlow and Samuel Hunte & Co. Ltd. shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the website, Academy content, third-party platform failures, missed opportunities, business interruption, or reliance on informational content.

12. No Guarantee of Regulatory or Platform Compliance

Because conversational commerce, digital marketing, data processing, and platform automation may involve changing legal and platform-policy requirements, ZemiFlow does not represent through this website that any service configuration automatically ensures full compliance with all laws, regulations, or platform terms. Clients remain responsible for obtaining legal or regulatory advice where needed.

13. Suspension or Termination

ZemiFlow may suspend, restrict, or terminate access to website features, Academy areas, downloadable materials, or prospective service discussions where necessary for security, abuse prevention, operational control, legal compliance, or strategic business reasons.

14. Changes to These Terms

These Terms of Service may be updated from time to time to reflect changes in the ZemiFlow operating model, legal posture, Academy structure, third-party tooling, or broader business operations. Continued use of the website after changes are posted constitutes acceptance of the revised terms to the extent permitted by law.
